Terms and Conditions for Spill

Welcome to Spill! These Terms and Conditions ("Terms") govern your access to and use of the Spill mobile application (the "App"), website (the "Website"), and associated services operated by Zellon LLC ("we," "our," or "us"). By downloading, accessing, or using Spill, you agree to these Terms. If you do not agree, please discontinue use of the App and Website.

1. Use of the Services

a. Eligibility

To use Spill, you must:

• Be at least 13 years old. If you are under 18, you must have parental or guardian consent.

• Provide accurate and complete information during account creation, where applicable.

b. Account Security

• You are responsible for maintaining the confidentiality of your account information.

• Notify us immediately at support@getspill.app if you suspect unauthorized use of your account.

c. Prohibited Conduct

You agree not to:

• Use the App or Website for unlawful purposes.

• Post or share content that is offensive, harmful, or violates the rights of others.

• Interfere with the functionality or security of the App or Website.

• Scrape, copy, or otherwise extract data from the App, Website, or associated services for any purpose, including commercial purposes, without our prior written consent.

• Use any content or data from the App or Website, including but not limited to the winery database, for personal or commercial purposes without explicit written permission from Spill.

2. User Content

a. Ownership

You retain ownership of the content you submit, including reviews, photos, and lists. By submitting content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute your content within the App and Website.

b. Responsibility

You are solely responsible for the content you post. Ensure it complies with these Terms and applicable laws.

c. Removal of Content

We reserve the right to remove any content that violates these Terms or is deemed inappropriate.

3. Data Collection and Privacy

Your use of the App and Website is subject to our [Privacy Policy](link to Privacy Policy), which outlines how we collect, use, and protect your personal data.

4. Intellectual Property

a. Ownership

All intellectual property rights in the App, Website, and associated services, including trademarks, logos, and code, are owned by Quinnivations LLC or its licensors. You may not copy, modify, or distribute any part of the App or Website without our prior written consent.

b. Restrictions on Data Use

The data on the App and Website, including but not limited to the winery database and user-generated content, is proprietary and protected. Unauthorized access, scraping, downloading, or use of this data is strictly prohibited. Any commercial use of the data requires explicit written permission from Spill.

c. Feedback

If you provide feedback or suggestions, we may use them without obligation or compensation to you.

5. Third-Party Services

The App and Website may integrate with third-party services like Google Analytics or Firebase. We are not responsible for the availability or accuracy of these services, nor for any third-party content.

6. Limitation of Liability

To the maximum extent permitted by law:

• Spill is provided "as is" without warranties of any kind.

• We are not liable for any indirect, incidental, or consequential damages arising from your use of the App or Website.

7. Termination

We may suspend or terminate your access to the App or Website at any time if you violate these Terms. You may delete your account by contacting support@getspill.app.

8. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of laws principles. Any disputes shall be resolved in the courts located in California.

9. Changes to These Terms

We may update these Terms from time to time. Continued use of the App or Website after updates constitutes acceptance of the revised Terms.
